What the Shop Act Covers

If you run a shop, an office, a restaurant or almost any commercial premises, your State Shops and Establishments Act applies to you. It is the law that fixes working hours, weekly offs, leave, overtime and the registers you have to keep. The registration certificate under it is usually the first thing a bank, a landlord or a payment gateway asks to see. Every State has its own version. Delhi still runs on its 1954 Act, Maharashtra on its 2017 Act, Karnataka on the 1961 Act, and Haryana follows the Punjab Shops and Commercial Establishments Act, 1958. The basics look similar. The details do not.

Retail stores, showrooms, corporate and branch offices, co-working seats, IT companies, restaurants, cloud kitchens, clinics, salons, gyms, coaching centres and warehouses usually fall within the Act. Some States exempt very small units or only want an intimation, while others want registration from the first employee. Remember that registration attaches to the premises, not to the company. A business with offices in Gurugram, Pune and Bengaluru needs three registrations under three different laws. We check the position for each location before anything is filed.

Papers We Need From You

Keep these ready and the application normally goes through in one round. PAN and incorporation papers of the business. ID and address proof of the owner, partners or directors. The rent agreement or ownership document for the premises with a recent electricity bill. An authorisation letter for the person signing. Your current employee count. A few State portals also want a photograph of the shop front with the name board visible. On day one we send a checklist written for your State, so nobody has to run around twice.

We confirm the Act and category that apply, prepare the declarations, file on the State labour portal and pay the government fee. If the inspector raises a query or wants to visit, we deal with it. In most States the certificate comes through within a few working days of a clean filing. States that still inspect before approval take longer. Along with the certificate you get a short note on what the Act now expects from you and the dates you should not miss.

How We Get It Done

After the Certificate Arrives

Registration is where compliance starts, not where it ends. A change in the business name, address, employer or headcount usually has to be reported within a fixed number of days. Most States also require registers of attendance, wages, leave and holidays, an abstract of the Act on display, and in some cases annual returns. Where a State still requires renewal, a lapsed certificate means fines. We can take all of this off your plate on a yearly retainer, including amendments, renewals and closure when you shut a location.

Questions clients usually ask

Does a private limited company need Shop Act registration?

Yes, if it works from an office or commercial premises covered by the State Act. The requirement follows the premises, so each branch in a different State needs its own registration.

How long does it take?

Most States issue the certificate online within a few working days once documents are in order. States that inspect before approval take longer.

What happens if we never registered?

Each State Act prescribes fines, often with a daily penalty for continuing default. You will also struggle to open bank accounts, sign leases or get other licences. Late registration is possible, and we can help you regularise it.

Do you work outside Delhi NCR?

Yes. We file Shop and Establishment registrations in every State and Union Territory, including Maharashtra, Karnataka, Telangana, Tamil Nadu, Gujarat, West Bengal, Punjab, Uttar Pradesh and Rajasthan.
